Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, services, and digital products provided by MARKTR LLC, a Wyoming limited liability company operating under the "Madani" brand (collectively, the "Service"). By accessing the Service or purchasing any product, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By using the Service or completing any purchase, you confirm that you are at least 18 years old, that you have the legal capacity to enter into a binding contract, and that you accept these Terms and our Privacy Policy and Refund Policy, each incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
MARKTR LLC publishes documentation, scripts, and digital developer tools through its product pages on madani.agency and through the Whop marketplace. The Service does not constitute software-as-a-service, financial services, brokerage, payment processing, lending, or investment advice. We provide reference materials and code samples for use with third-party platforms (such as GoHighLevel) and do not control, operate, or warrant those third-party platforms.
3. Eligibility
You may use the Service only in jurisdictions where doing so is lawful. You may not use the Service if you are located in, or are a national or resident of, a country subject to comprehensive trade sanctions, or if you appear on any government list of restricted parties.
4. Account & Access
Some products require an account on Whop or access to a private GitHub repository. You are responsible for safeguarding your credentials and for all activity under your account. You agree to provide accurate information and to update it as needed. We may suspend or revoke access for breach of these Terms, suspected fraud, or non-payment.
5. Digital Products & Delivery
Products are digital and delivered electronically. After successful payment, you receive an automated email — typically within sixty (60) seconds — containing access instructions to a private GitHub repository or other delivery channel. Access is granted as a non-exclusive, non-transferable, non-sublicensable license for your internal business use. We do not provide installation, hosting, or ongoing support unless explicitly stated on the product page.
6. Payments & Pricing
All payments are processed by Whop Inc. and its payment partners. Supported methods include credit/debit card, Apple Pay, and PayPal where available. Prices are displayed in Euro (EUR) unless otherwise indicated and are exclusive of any applicable taxes (VAT, GST, sales tax), which are added at checkout where required. You authorize us, through our payment processor, to charge the payment method you provide for the amounts shown.
7. Refunds
Due to the digital nature of the products and the instant electronic delivery, all sales are final. Refund eligibility, the EU consumer right of withdrawal waiver, and limited exceptions (duplicate charges, technical delivery failure) are described in our Refund Policy, which is incorporated by reference.
8. License & Intellectual Property
All content, documentation, code samples, scripts, designs, trademarks, and other materials provided through the Service are owned by MARKTR LLC or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive license to use the materials internally. You may not resell, sublicense, redistribute, publicly post, or create derivative products from the materials without prior written consent.
9. Acceptable Use
You agree not to: (a) reverse-engineer, scrape, or systematically extract content from the Service beyond what is permitted by the applicable third-party platform's published API documentation; (b) use the Service to violate any law or third-party right; (c) attempt to circumvent paywalls or license restrictions; (d) misuse the Service to spam, defraud, or harm any person or entity; (e) resell or rebrand the Service as your own.
10. Disclaimers & Warranties
THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or compatible with any particular third-party platform configuration. Third-party platforms (including but not limited to GoHighLevel) may change their APIs, terms, or features at any time; such changes are outside our control.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKTR LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED EURO (€100).
12. Indemnification
You agree to indemnify, defend, and hold harmless MARKTR LLC and its representatives from any claim, loss, liability, damage, cost, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms or for any other lawful reason. Upon termination, your license to use the materials ends immediately. Sections that by their nature should survive termination (including license, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Changes to These Terms
We may update these Terms from time to time. We will indicate the date of the latest revision at the top of this page. Material changes will be communicated where reasonable. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration conducted in Casper, Wyoming, in English, under the rules of the American Arbitration Association. Each party waives any right to a jury trial and any right to participate in a class action. Notwithstanding the foregoing, either party may bring an individual action in a small-claims court of competent jurisdiction.
